Welcome to HousingMarket. By accessing the HousingMarket website, registering for an account, or purchasing and utilizing any Subscription or Content, you acknowledge and consent to be bound by these Terms of Use (this "Agreement").
The following definitions apply throughout this document:
"Service" refers collectively to the subscription services offered by HousingMarket, including access to the Website, proprietary databases, and all related communications and features.
"Content" means all text, data, analysis, reports, articles, graphics, proprietary indices, market forecasts, newsletters (in electronic or print format), and any other intellectual property delivered to the Subscriber as part of the Service.
"Subscriber" or "You" refers to the individual or entity who has registered, purchased a Subscription, and agreed to these Terms.
"Subscription" refers to the paid, fixed-term arrangement granting a limited license to access the Content.
"HousingMarket" or "We" refers to the operator of the service, organized under the laws of state of Texas, U.S.A.
Acceptance of Terms: By using the Service, you formally acknowledge and consent to be bound by these Terms of Use, effective immediately.
Modification of Terms: HousingMarket reserves the exclusive and unilateral right to modify these Terms at any time, reflecting changes in technology, law, or business operations. HousingMarket commits to providing the Subscriber with reasonable prior written notice—typically a minimum of thirty (30) days—of any modifications to these Terms that are materially disadvantageous to the Subscriber. Changes that are neutral or advantageous may take effect immediately, with notification following within thirty (30) days. Your continued use of the Service after the effective date of any modified Terms constitutes your formal acceptance of the new conditions.
The HousingMarket Privacy Policy details how personal information is collected, used, and protected, and is incorporated into this Agreement by explicit reference. By agreeing to these Terms, you also agree to the terms outlined in the Privacy Policy.The subscription process requires express permission to receive commercial electronic communications in electronic format, which may include newsletters, marketing messages, and invitations to participate in surveys. You may opt-out of receiving these commercial communications at any time by following the instructions (e.g., an unsubscribe link) included in each communication. However, HousingMarket will send service-related announcements (e.g., maintenance suspension, new enhancements) when necessary; you may not opt-out of these communications.
Non-Reliance and Professional Disclaimer: The Content provided by HousingMarket, including all articles, analyses, forecasts, and data points, is intended strictly for general informational and educational purposes only. This Content does not constitute, and should not be construed as, professional financial advice, investment counsel, tax advice, legal advice, or personalized recommendations. HousingMarket, its employees, agents, or affiliates, are not licensed financial advisors, legal professionals, or tax professionals. The Content is not based on the individual financial needs, circumstances, or specific investment objectives of the Subscriber. Any decisions made by the Subscriber regarding investment, property purchases, or financial planning based on information obtained from the Service are the sole and exclusive responsibility of the Subscriber. You acknowledge that there is an inherent risk involved with financial and investment decisions, and HousingMarket shall not be held liable for any decisions or actions taken by the Subscriber.
Tax Advice Disclaimer: Any information provided by the Service that could be construed as U.S. tax advice is not written or intended to be used, and cannot be used, for the purposes of (i) avoiding penalties under the Internal Revenue Code, or (ii) promoting, marketing, or recommending to another party any transaction or matter addressed within the Content.
Disclaimer of Warranties ("AS IS" and "AS AVAILABLE"): The Subscriber expressly agrees that the Service and all Content are provided on an "AS IS" and "AS AVAILABLE" basis. HousingMarket makes no express or implied warranties, representations, or endorsements of any kind whatsoever regarding the Service or the Content. This disclaimer includes, but is not limited to, disclaiming all implied warranties of merchantability, fitness for a particular purpose, non-infringement, security, accuracy, reliability, or completeness of the Content. HousingMarket does not warrant that the Service will be uninterrupted, error-free, timely, secure, or free from viruses or other harmful components.
Ownership and Retention of Intellectual Property: HousingMarket, or its licensors, retains all exclusive rights, title, and interest in and to the Service and the Content. This includes, without limitation, all copyrights, patents, trademarks, trade secrets, and other intellectual property rights covering the underlying structure, data methodologies, algorithms, website design, and all proprietary analysis and compiled data delivered via the newsletters or website. All Content is protected by U.S. and international copyright, trademark, and other applicable intellectual property laws. HousingMarket reserves all rights not expressly granted to the Subscriber.
Limited Personal Use License: Upon activation of a paid Subscription, HousingMarket grants the Subscriber a limited, non-exclusive, revocable, non-transferable, and non-sublicensable license to access and use the Content strictly for the Subscriber’s internal, personal, and non-commercial purposes during the active Subscription Term. This license permits the Subscriber to view the Content and, where appropriate, print one (1) copy of individual articles or reports for personal archival reference.
The limited license granted in Section 5 explicitly prohibits any activity that undermines the proprietary value of the Content or the Subscription model. The Subscriber is strictly prohibited from, and shall not permit any third party to:
Redistribution and Sharing: Reproduce, duplicate, copy, sell, transfer, lease, rent, share, sub-license, assign, publicly display, or electronically forward the Content, newsletters (whether in whole or in part), or account access links to any other individual or entity, whether within the Subscriber’s organization or externally.
Commercialization: Use the Content for any commercial purpose, which includes, but is not limited to, using the data to generate revenue, create competing products, provide consulting services to third parties, or integrate the Content into a proprietary database for internal or external business use.
Modification: Modify, adapt, translate, reverse engineer, decompile, or create derivative works based upon the Content or the Service.
Payment Terms and Billing: You agree to pay all fees and charges associated with the Subscription in accordance with the billing terms in effect at the time the fee becomes due. Payments are processed on a [Monthly/Annual] recurring basis using the payment method provided by you. HousingMarket reserves the right to suspend or cancel the Service immediately upon failure to process payment.
Automatic Renewal Mechanism: To ensure continuous access, all Subscriptions operate on an automatic renewal basis. The Agreement shall be automatically renewed for successive Subscription Terms (e.g., 12 months) upon the expiry of the current term, utilizing the payment method on file. HousingMarket will provide you with a clear and conspicuous notice of the impending renewal and subsequent charge via electronic communication (email) approximately thirty (30) to sixty (60) days prior to the expiration of the current Subscription Term, specifying the current fee amount and the renewal date. Non-renewal requires you to provide notice of your intention not to renew through the designated online account portal no less than sixty (60) days before the expiration of the then-current Subscription Term.
Fee Changes and Adjustments: HousingMarket reserves the right, in its sole discretion and at any time, to modify Subscription fees and usage allowances for the Service. Any Subscription fee change will become effective only at the end of your then-current Billing Cycle. HousingMarket will provide you with reasonable prior notice of any fee change to afford you the opportunity to terminate the Subscription before the modification takes effect. Continued use of the Service after a fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.
Cancellation and Refund Policy: You may cancel your Subscription at any time by notifying HousingMarket via the online account portal. Cancellation will prevent subsequent automatic renewals; however, you will retain access to the Content and Service until the end of the paid billing cycle. Refunds for digital content are strictly limited. Refunds will only be issued if you cancel the Subscription within fourteen (14) days of the initial purchase, upgrade, or automatic renewal date. Outside of this fourteen (14) day window, no refunds or credits will be provided for any partially used Subscription period or any Content already delivered.
Prohibited Conduct and Account Security: You agree to comply with all applicable local, state, national, and international laws and regulations while using the Service. Prohibited conduct includes, but is not limited to, engaging in activities that are abusive, harmful, fraudulent, or violate the intellectual property rights of HousingMarket or any third party.You are explicitly prohibited from sharing, distributing, or otherwise transferring your account login credentials (username and password) to any other individual or entity. Account credentials are for the exclusive use of the named Subscriber. You are solely responsible for maintaining the security and confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify HousingMarket of any suspected unauthorized use or security breach of your account.
Strict Prohibition of Data Harvesting and Automated Access (Anti-Scraping): The Subscriber is explicitly and strictly prohibited from accessing, monitoring, copying, extracting, or recording any portion of the Service or Content using automated processes or technology. Prohibited automated activity includes, but is not limited to:
Web scraping, screen scraping, and data mining.
The use of bots, web crawlers, spiders, automated scripts, or any similar automated data extraction software.
Accessing the Service for the purpose of monitoring availability, performance, or functionality, or for any competitive purposes.
Violation of this clause constitutes a material breach of this Agreement, subjecting the Subscriber to immediate account termination and potential legal remedies, including monetary damages.
Limitation of Liability: HousingMarket provides the Service on an "AS IS" basis, and, consistent with this provision, you agree that HousingMarket shall not be liable for any direct, indirect, incidental, punitive, exemplary, special, or consequential damages. This exclusion specifically covers damages resulting from:
Loss of profits, revenue, anticipated savings, data, or business opportunity.
Your use of or inability to use the Service or Content.
Errors, omissions, or inaccuracies in the Content.
Any reliance on the Content as professional advice (as set forth in Section 4).
HousingMarket’s total, aggregate liability to the Subscriber for all claims whatsoever arising under or in connection with this Agreement shall not exceed an amount equal to the total fees paid by the Subscriber to HousingMarket in the twelve (12) months immediately preceding the event giving rise to the claim.
Indemnification by Subscriber: The Subscriber agrees to indemnify, defend, and hold harmless HousingMarket, its parent company, officers, directors, employees, and agents from and against any and all claims, demands, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) suffered or incurred by them arising out of, or in connection with:
Your use or misuse of the Service or Content.
Your breach of any term, warranty, or covenant contained in this Agreement (including, but not limited to, Sections 5 and 6).
Any negligent or willful misconduct by the Subscriber.
Governing Law: This Agreement, and any disputes arising out of or relating to the Service or the Content, shall be governed by and construed in accordance with the substantive laws of the State of, U.S.A., without regard to its conflict of laws principles.
Choice of Forum and Dispute Resolution: The parties irrevocably agree that any litigation arising out of or in connection with this Agreement will be filed and heard exclusively in the state or federal courts located within. Prior to initiating any litigation or formal binding dispute resolution, the parties agree to engage in mandatory good-faith negotiation and mediation for a period of not less than sixty (60) days.
General Legal Provisions:
Severability: Should any provision of this Agreement be found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be severed, and the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired.
Entire Agreement: This Terms of Use, together with the Privacy Policy incorporated herein by reference, constitutes the entire agreement between the Subscriber and HousingMarket concerning the Service, superseding all prior communications, proposals, and agreements.
Waiver: No waiver by HousingMarket of any breach or default hereunder shall be deemed a waiver of any subsequent breach or default of the same or similar nature.
